  • License for Use of ICE Video Content and Faculty Resources

    International Clinical Educators LLC (“ICE”) provides educational materials in the field of medical and allied health education, including a video library maintained on the following website: videos.icelearningcenter.com (“Video Content”) and a database of faculty resources on the following website: faculty2.icelearningcenter.com (“Faculty Resources”).

    {name} from {universityOr} (“Licensee”) desires to use certain Video Content and Faculty Resources for educational purposes. The Licensee’s use of the Video Content and Faculty Resources is subject to and governed by this agreement.

    Grant of Limited License

    ICE grants the Licensee a limited, revocable, non-exclusive, and non-transferable license for presenting the following materials (“Authored Works”):

    The Authored Works may only be shown by {presenterNames} during the event {event} on {eventDate}, for educational purposes, unless otherwise agreed upon in writing by ICE and the Licensee.

    Attribution and Branding

    Licensee agrees to the following attribution requirements when presenting the Authored Works:

    1. Verbal and Written Reference: Verbally credit "ICE Learning Center" during the presentation and include a written credit on any accompanying materials.
    2. Logo Display: Display the official ICE Learning Center logo on presentation slides or digital materials featuring the Authored Works. ICE will provide the necessary logo files.
    3. Website Link: Include a hyperlink to www.icelearningcenter.com on any website, event page, or digital handout associated with the presentation.

    Ownership of Intellectual Property

    The Licensee acknowledges that ICE is the sole and exclusive owner of the Authored Works and all associated intellectual property rights, including copyrights. This agreement grants only the limited license specified herein, and does not transfer any ownership rights to the Licensee.

    Disclaimers and Limitation of Liability

    The Video Content and Faculty Resources are provided strictly for educational purposes related to the practice of occupational and physical therapy and are for use by the Licensee only. The Video Content and Faculty Resources are not intended for use in the diagnosis or treatment of any particular patient and should not be considered a substitute for professional healthcare advice, diagnosis, or treatment.

    The Video Content and Faculty Resources are also provided on an “as is” basis. Any use is voluntary and is done at the sole risk of the Licensee. In no event shall ICE, its officers, directors, employees, agents, partners, subcontractors, representatives, licensors, suppliers and/or successors in interest be liable for any damages whatsoever, including without limitation, direct or indirect, special, incidental, consequential, personal injury/wrongful death, arising out of or related to use of the Video Content and Faculty Resources, whether based on warranty, contract, tort, negligence or other legal theory. ICE is not liable to any user of the Video Content and Faculty Resources or any person for any decision made or action taken in reliance on the Video Content and Faculty Resources.
